Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Sharp EV, Inc. ("Sharp," "we," "us," or "our"), governing your use of our website (www.sharp.app), mobile applications, and related services (the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 21 years old and legally permitted to use the Services where you are located. The Services are intended for adults in the United States. You are responsible for ensuring that your use of the Services is lawful where you are.
2. Nature of the Services; No Real-Money Wagering
Sharp is a sports-betting intelligence and analytics service that provides betting tools and content—including arbitrage and +EV opportunities, projections, odds data, educational material, and related insights. Sharp is not a sportsbook. We do not accept real-money wagers, hold user funds, or facilitate betting on our platform. Any wagering you choose to do happens on separate, third-party platforms that you access and sign into yourself, subject to their terms and the laws that apply to you.
Our tools and content are provided for informational and entertainment purposes only. We do not provide gambling, financial, investment, or legal advice. We do not guarantee the accuracy of any projection, pick, or data, and nothing on the Services is a promise or guarantee of any betting outcome, profit, or result. Past performance does not predict future results. You are solely responsible for your own decisions and for complying with the laws that apply to you.
3. Accounts
- You agree to provide accurate information and to keep your account credentials confidential.
- You are responsible for all activity under your account.
- Notify us promptly of any unauthorized use at the contact below.
4. Subscriptions, Fees, and Payments
Access to paid features requires a subscription. We offer multiple plan tiers (such as Core and Ultimate) on monthly and annual billing, each with a 7-day free trial for new subscribers. You may subscribe directly through our website (checkout processed by Stripe) or through the Apple App Store or Google Play (billed by Apple or Google under their terms).
Free trial and automatic renewal. When you start a free trial, you agree that unless you cancel before the trial ends, your paid subscription begins automatically and the plan amount is charged to your payment method on file at the end of the 7-day trial. Subscriptions then renew automatically each billing period (monthly or annually) at the then-current price until you cancel. You can cancel anytime; cancellation stops future renewals and takes effect at the end of the current billing period. See Section 9 (Refunds and Cancellation).
5. Communications Consent (Email and SMS)
Email. By creating an account you agree to receive transactional emails about your account and the Services. With your consent, we may also send marketing emails; you can opt out at any time using the unsubscribe link.
SMS / text messaging. If you provide your mobile number and opt in, you consent to receive text messages from Sharp, which may include account, transactional, and—where you have separately consented—marketing or promotional messages. Consent to marketing texts is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time and HELP for help. See our SMS Terms.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms;
- Misrepresent your age, identity, or location, or circumvent eligibility or geographic controls;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- Scrape, copy, or reverse engineer the Services except as permitted by law; or
- Upload malicious code or infringe the rights of others.
7. Intellectual Property
The Services and all related content, trademarks, and software are owned by Sharp or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use, subject to these Terms.
8. Third-Party Services
The Services may rely on or link to third-party services. We are not responsible for third-party content or practices, and your use of them may be subject to their own terms.
9. Refunds and Cancellation
Web purchases. No charge is made during the 7-day free trial; we charge the payment method on file only after the trial ends, and subscriptions renew automatically at the then-current price until cancelled. It is your responsibility to cancel before the trial converts or before a renewal date if you do not wish to be charged. You can cancel at any time in your account settings, and cancellation is effective for future renewals. Except where required by applicable law, fees already charged—including renewal fees—are non-refundable, and we do not refund for partial billing periods or non-use of the Services. We may, at our discretion, grant refunds in cases such as proven billing error or fraud. To raise a billing question or request a refund, contact us at [email protected].
App store purchases. Subscriptions purchased through the Apple App Store or Google Play are billed by Apple or Google and governed by their terms. Auto-renewal, billing, and refunds for those purchases are handled through your App Store or Google Play account settings, and any unused portion of a free trial is forfeited when you purchase a subscription. We do not control and cannot directly issue refunds for app-store purchases; refund requests for those must be made to Apple or Google.
10. User Contributions
The Services may allow you to post or share content such as messages, comments, and other materials ("Contributions"), including through community features. You are solely responsible for your Contributions and represent that they are lawful, do not infringe anyone's rights, are not false or misleading, and are not obscene, harassing, or otherwise objectionable. We may, but are not obligated to, monitor, edit, remove, or refuse Contributions at our discretion, and may suspend or terminate accounts that violate these Terms.
License to Contributions. By posting Contributions, you grant Sharp a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, display, and distribute your Contributions in connection with operating and promoting the Services. You retain ownership of your Contributions.
11. Copyright / DMCA Policy
We respect intellectual property rights. If you believe content on the Services infringes your copyright, send a notice to [email protected] including the information required by the Digital Millennium Copyright Act (DMCA): identification of the work, the allegedly infringing material and its location, your contact information, a statement of good-faith belief, a statement that the information is accurate, and your physical or electronic signature. We will respond as required by law and may remove infringing content and terminate repeat infringers.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHARP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
14. Indemnification
You agree to indemnify and hold harmless Sharp and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
15. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. You agree that any dispute arising from or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally.
17. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a revised effective date and, where required, provide additional notice. Your continued use after changes take effect constitutes acceptance.
